GRADYZER COMMERCIAL LICENSE AGREEMENT
PORTAL CLOUD 9 – WOOCOMMERCE USER PORTAL & MESSAGING PLUGIN
Version 8.2.6 | Effective Date: January 2025

IMPORTANT – READ CAREFULLY: This Commercial License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity) and Gradyzer (“Licensor”) for the Portal Cloud 9 software product, which includes computer software and associated media and printed materials, and may include online or electronic documentation (“Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

LICENSE GRANT
Gradyzer grants you a non-exclusive, non-transferable license to use the Software on WordPress websites that you own or operate, subject to the terms and conditions set forth in this Agreement.
TRIAL/FREE VERSION LIMITATIONS
The Software may be used without a commercial license under the following restrictions:
a) Product Section: Maximum of 2 products visible per page
b) Orders Section: Maximum of 2 orders visible per page (applies to Admins, Sellers, Buyers, and Customers)
c) All other features remain fully functional including:
- Complete account management
- Full product creation and editing capabilities
- Unlimited inbox/messaging access
- Unlimited product inquiry chats
- All administrative functions
COMMERCIAL LICENSE BENEFITS
Upon purchasing a commercial license, the following restrictions are removed:
a) Unlimited products visible in Product Section
b) Unlimited orders visible in Orders Section
c)Unlimited product inquiry chats
d) Removal of footer branding attribution
e) Priority technical support
f) Access to premium updates and features
PERMITTED USES
With a valid commercial license, you may:
a) Use the Software on unlimited domains that you own
b) Use the Software for commercial projects
c) Access premium support channels
PROHIBITED USES
You may not:
a) Resell, redistribute, or sublicense the Software
b) Use the Software in SaaS applications without written permission
c) Remove copyright notices from the Software
d) Use the Software on websites you do not own without proper licensing
e) Distribute modified versions without explicit written permission
COPYRIGHT
The Software is owned by Gradyzer and is protected by copyright laws and international treaty provisions. You must treat the Software like any other copyrighted material.
SUPPORT SERVICES
Gradyzer may provide you with support services related to the Software. Use of support services is governed by Gradyzer’s policies and procedures described in the user manual and/or online documentation.
TERMINATION
Without prejudice to any other rights, Gradyzer may terminate this Agreement if you fail to comply with the terms and conditions. In such event, you must destroy all copies of the Software and all of its component parts.
LIMITED WARRANTY
Gradyzer warrants that the Software will perform substantially in accordance with the accompanying written materials for a period of ninety (90) days from the date of receipt.

NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRADYZER DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE.

LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRADYZER OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF GRADYZER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
REFUND POLICY
Due to the digital nature of the Software, all sales are final. However, Gradyzer may, at its sole discretion, offer refunds within 14 days of purchase if the Software is proven to be defective and cannot be resolved through support channels.
LICENSE VALIDATION
The Software may periodically validate your license with Gradyzer servers. This validation is necessary to ensure license compliance and provide updates.
PRIVACY POLICY
License validation and support services may require collection of basic website information. This data is used solely for license verification and support purposes.
GOVERNING LAW
This Agreement shall be governed by the laws of [Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and Gradyzer relating to the Software and supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software or any other subject matter covered by this Agreement.
AMENDMENTS
Gradyzer reserves the right to amend this Agreement at any time. Continued use of the Software after amendments constitutes acceptance of the new terms.
